Procedure and duration of company formation

The company formation process in Montenegro is still clearly structured. As a rule, the formation process takes around 3 to 7 working days, provided that all documents are complete. Depending on the workload of the authorities, lawyers and systems, as well as public holidays and weekends, this period may be slightly longer.

However, it is important to note that the legal and technical changes since 2025/2026 have brought about some changes in the area of company formation in Montenegro. The process has become more modern in some areas, but also more formal than in the past, particularly as a result of increasing digitalization.

A central component of this new structure is the so-called token. This is a digital certificate or electronic signature that is required for certain official processes. With this token, you can identify yourself in the system, digitally sign documents in a legally binding manner and handle official processes in the context of company formation in Montenegro and subsequent company management. This token must first be applied for and is now an important part of the entire process.

It used to be possible to set up a company remotely via a power of attorney. Unfortunately, this is more difficult today due to the application and notary appointment for the token, as you have to be present in person.

Setting up a company in Montenegro is still relatively straightforward in terms of the basic requirements. In most cases, all you need is a valid passport and a company name of your choice. This will then be checked by a business lawyer to ensure that it is still available.

An important change in the course of the new legal and administrative developments concerns the requirements for the managing director. While it used to be mandatory to submit a school-leaving certificate (e.g. secondary school, intermediate school or grammar school) for registration, this is no longer required. This adjustment further simplifies company formation in Montenegro and significantly reduces the bureaucratic burden.

However, it remains unchanged that a managing director must be appointed after the company is founded, as this is required by law.

New technical requirements have also been added in connection with advancing digitalization. In particular, the aforementioned token – i.e. the digital signature for the identification and handling of official processes – is now a central component when setting up a company in Montenegro and in the subsequent administration of the company.

Overall, setting up a company in Montenegro remains accessible and comparatively simple, but now requires a little more structure in the digital area than a few years ago.

Costs of founding a company

The costs of setting up a company in Montenegro vary from year to year and depend in particular on legal and administrative costs. In addition, since the reforms from 2025, other factors have to be taken into account, especially in connection with digitalization and new legal requirements.

It is therefore advisable to enquire about the current costs individually in order to obtain a realistic and transparent calculation.

Legal changes since 2025/2026

Company formation in Montenegro has changed noticeably since 2025. While the actual founding process is still comparatively straightforward, the framework conditions have become much stricter, more transparent and more closely monitored.

In the past, company formation in Montenegro was often used to obtain a residence permit relatively easily, without the focus being on actual business activity. This model has now been clearly regulated.

Today, there is increased scrutiny of whether the established company is economically active. A central component of this development is the so-called 5,000 euro rule. Managing directors or shareholders with a stake of more than 51% must prove that at least 5,000 euros in taxes and social security contributions have been paid annually in order to be able to extend their residence permit.

It is important to note that this regulation does not apply to EU citizens or nationals of Iceland, Liechtenstein, Norway and Switzerland.

Digitization and new systems

Progressive digitalization is a key component of modern company formation in Montenegro. Processes now run centrally via systems such as CRPS and the tax administration’s new IRMS system.

Company formation in Montenegro is increasingly taking place electronically – from the application to communication with the authorities. With complete documents, processing can often be completed within three working days.

However, digitalization also brings with it new requirements. The so-called token – a digital certificate that serves as an electronic signature – is particularly important. Without this token, proper management of the company is no longer possible today.

Ongoing obligations and new reality

Setting up a company in Montenegro should no longer be seen as a mere formality. Whereas in the past an inactive company was often sufficient, today actual business activity is generally expected.

This includes proper accounting, regular tax payments, employee registration and clear economic activity. The authorities are increasingly working in a network and synchronizing data between different institutions.

As already mentioned, there is a slight difference between setting up a company as an EU citizen and as a non-EU citizen.

Adjustments to company law

The new company law, which has been in force since 1 January 2026, has further professionalized company formation in Montenegro. The aim is to move closer to European standards as well as to create more transparency and clear structures.

Existing companies had to adapt their documents, in some cases by March 31, 2026 (with an extension until June 2026). For new start-ups, this also means that documents must not only be created, but also processed and submitted digitally in compliance with the system.

A central aspect of setting up a company in Montenegro is the connection with the residence permit. As a rule, the managing director is officially employed within 14 days of the company being founded and can then apply for a residence permit.
